Terms of Service

1. Who we are
These terms are between ArcGabriel Ltd (company number [company number], registered office [registered office address], "we", "us") and the firm that opens an ArcMichael account ("you", "the firm"). The person who signs up confirms they are authorised to bind the firm.
2. What ArcMichael is and is not
ArcMichael is software that reads case files, proposes findings against a rule-set and supports your compliance process. It does not make regulatory decisions, does not approve files, does not submit to lenders and does not decide whether advice was suitable. Findings are proposals until a person at your firm confirms them. You remain responsible for the advice you give, the files you submit and your compliance with the FCA Handbook and all other law that applies to you.
3. Your account
You must keep credentials confidential, enable two-factor authentication where your firm policy requires it, and tell us promptly of any unauthorised use. You are responsible for the actions of your users. The primary admin who signs these terms cannot be removed by another admin; transfer of that role is a logged two-step action.
4. Acceptable use
You may upload only documents you are entitled to process. You must not use ArcMichael to process data about people you have no lawful basis to process, attempt to reverse-engineer the rule-set or models, or send marketing messages to contacts without a recorded lawful basis. ArcMichael blocks the last of these where it can detect it.
5. Fees, billing and VAT
Prices are published on the pricing page, ex VAT, in pounds sterling. VAT at the applicable rate is added at checkout and shown on the invoice. Monthly plans renew each month; annual plans renew each year at ten times the monthly price. Each plan includes a fixed number of file reviews and a fixed number of people; there are no usage charges and no paid extra seats. When an allowance is reached the firm moves to the plan above, which starts immediately and is charged pro rata. Unused allowance does not carry over. Stripe is the invoice of record.
6. Cancellation and renewal
You may cancel a monthly plan at any time; cancellation takes effect at the end of the period you have paid for, and there are no partial-month refunds. Annual plans run to the end of the term and renew unless cancelled before the renewal date; we email a reminder 30 days and 7 days before, stating the renewal price. There are no refunds on annual plans except where statute requires one. Downgrades take effect at the end of the current period; upgrades take effect immediately with a proration quote shown before you confirm. Price changes are notified at least 30 days in advance and never apply mid-term to an annual plan.
7. Late payment and suspension
If a payment fails we retry and write to your billing contact. After seven days new review runs are paused. After fourteen days the account becomes read-only for admins. After thirty days the subscription is cancelled and the 90-day export window begins. Any successful payment clears the ladder at once.
8. Data protection
For your account data we are the controller. For client files and the personal data in them you are the controller and we are your processor; the Data Processing Agreement forms part of these terms. We use the sub-processors listed in the DPA and will give 30 days' notice of any change.
9. Retention and deletion
You choose the retention mode per firm, with per-case override. On cancellation your account enters a 90-day read-only window for export, after which data is deleted under the retention schedule and the deletion logged. You may request earlier deletion in writing.
10. Availability
We aim for 99.5 per cent monthly availability, take daily backups, and test restores. Network-tier firms have a separate service level agreement. We are not liable for outages at third parties we depend on, but we will tell you what happened.
11. Intellectual property
We own ArcMichael, the rule-set and the reports' form. You own your documents, your data and the content of your reports. You grant us the licence needed to provide the service and nothing more. We do not train models on your data.
12. Liability
Nothing in these terms limits liability that cannot be limited by law. Subject to that, we are not liable for loss of profit, loss of business, regulatory penalties, or indirect or consequential loss, and our total liability in any twelve-month period is limited to the fees you paid us in that period. ArcMichael's findings are proposals for your reviewer; you must not rely on them without review.
13. Changes to these terms
We may change these terms on 30 days' notice by email to the primary admin. The version you signed is stored as a hashed PDF and available to you from the billing page at any time.
14. Law
These terms are governed by the law of England and Wales and the courts of England and Wales have exclusive jurisdiction.
